1. Agreement to Terms

These Terms of Use (“Terms”) form a binding agreement between you (“you” or “Merchant”) and Fundlify UG (“Fundlify,” “we,” “us,” or “our”), governing your access to and use of the Fundlify Shopify application (“the App”).

By installing or using the App, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy and Cookie Policy. If you do not agree, you may not use the App.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

2. Description of the App

Fundlify is a Shopify plugin that enables merchants to run crowdfunding-style pre-order campaigns directly on their Shopify store. Merchants use the App to:

• Launch and manage campaigns tied to products or collections.

• Collect customer interest and commitments before production or fulfillment.

• Automate campaign logic (thresholds, deposits, deadlines) and convert successful campaigns into Shopify draft orders.

Fundlify is not a payment processor, fulfillment partner, or external marketplace like Kickstarter or Indiegogo. All transactions are processed through your Shopify store.

3. Eligibility

To use the App, you must:

• Be at least 18 years old.

• Own or be an authorized representative of a Shopify store in good standing.

• Have authority to enter into this agreement on behalf of your business.

4. Merchant Responsibilities

You, the Merchant, are fully responsible for:

• Campaign setup (product details, pricing, timelines, thresholds, deposits, reward tiers).

• Payment collection through your Shopify store (Fundlify does not process or hold funds).

• Customer (backer) communication, including updates, delivery timelines, and risks.

• Order fulfillment, delivery, product quality, and compliance with consumer laws.

• Refunds, cancellations, and dispute handling.

Fundlify is not responsible for disputes, failed deliveries, product misrepresentation, or unfulfilled promises.

5. Fees and Payment

Use of the App requires:

• A monthly subscription fee, billed via the Shopify App Store.

• A transaction fee on successful pre-order campaign orders, as described in your plan.

You authorize Shopify to collect these fees on our behalf. We may update pricing with advance notice. Continued use of the App after changes means you accept the new fees.

6. Data Use and Privacy (GDPR)

We comply with the General Data Protection Regulation (GDPR).

We collect and process:

a. Merchant Data

• Store name and URL

• Email address

• Campaign settings and usage metrics

b. Customer (Backer) Data

• Name

• Email

• Shipping address

Customer data is:

• Used only to enable campaign functionality and order creation.

• Temporarily stored and retained only as necessary for integrity, fraud prevention, or legal compliance.

• Deleted upon verified request, unless retention is legally required.

You agree to obtain all necessary customer consents and comply with Shopify’s terms and applicable data laws.

7. Data Security

We use industry-standard security measures to safeguard data. However, no system is fully secure. By using the App, you acknowledge inherent risks in online data transmission.

8. Platform Integrity & Fraud Prevention

To maintain trust and security, Fundlify may:

• Monitor campaign activity for fraud or abuse.

• Suspend or terminate access if we suspect violations or misuse.

• Retain data for fraud investigation, auditing, or legal defense.

• Report suspected illegal activity to authorities.

9. Intellectual Property

Fundlify UG owns all software, features, branding, and content associated with the App. These are protected by copyright, trademark, and other laws.

You may not copy, reverse-engineer, or distribute the App without our written consent.

You retain ownership of your campaigns and store content, but grant Fundlify a limited license to use this content as needed for operating and improving the App.

10. Third-Party Services

The App integrates with Shopify and may rely on other third-party services. You agree to comply with their terms. Fundlify is not liable for outages, errors, or issues caused by Shopify or third parties (including payment gateways).

11. Backer Terms & Refund Policy

When customers back a campaign via Fundlify, they are supporting a pre-order campaign, and not necessarily purchasing in-stock goods.

Backers understand:

• Delivery dates are estimates, not guarantees.

• Campaigns may fail, be delayed, or be modified.

• Merchants are solely responsible for fulfillment, refunds, and communication.

• Fundlify is not liable for non-fulfillment, delays, refunds, or disputes.

Merchants are strongly encouraged to:

• Communicate transparently with backers.

• Offer refunds or alternatives in case of campaign failure or significant delay.

• Provide accurate, realistic expectations.

12. Disclaimers

The App is provided “as is” and “as available,” without warranties of any kind.

We do not guarantee uninterrupted or error-free service.

We do not verify Merchant campaign content or customer data.

We are not responsible for third-party platforms (e.g., Shopify, payment processors).

13. Limitation of Liability

To the maximum extent permitted by law:

• Fundlify UG is not liable for indirect, incidental, or consequential damages (including lost profits, lost sales, or reputational harm).

• We are not responsible for disputes between you and your customers, including refund issues, misrepresentation, or non-delivery.

• Our total liability under these Terms is limited to the fees paid by you for the App in the past 3 months.

Where applicable law limits these exclusions, they apply to the fullest extent possible.

14. Indemnification

You agree to indemnify and hold harmless Fundlify UG, its officers, employees, and affiliates from claims, damages, or expenses arising from:

• Your use or misuse of the App.

• Campaigns you run and promises made to customers.

• Breach of these Terms.

• Violation of laws or third-party rights.

15. Termination

You may uninstall the App anytime from your Shopify admin.

We may suspend or terminate your access if:

• You breach these Terms.

• We detect misuse, fraud, or abuse.

• Required by law or legal process.

Upon termination, you must stop using the App. We may retain necessary data for compliance and fraud prevention.

16. Cookie Policy

Fundlify may use cookies to:

• Analyze usage and improve features

• Maintain session continuity

• Remember user preferences

By using Fundlify, you consent to cookies. You may disable them in your browser, but this may limit functionality.

17. Governing Law & Jurisdiction

These Terms are governed by German law. All disputes will be handled exclusively in the courts of Berlin, Germany.

18. Final Terms

These Terms are the entire agreement between you and Fundlify UG. If any provision is unenforceable, the rest remain valid.

You may not transfer these Terms without our consent. Fundlify UG may transfer rights and obligations without restriction.
