1. Agreement to Terms
These Terms of Use (“Terms”) form a binding B2B agreement between you (“you” or “Merchant”) and FUNDLIFY UG (haftungsbeschränkt) (“Fundlify,” “we,” “us,” or “our”), governing your access to and use of the Fundlify Crowdfunding & Pre-order Shopify application (“the App”) and related services at fundlify.com.
By installing or using the App, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not install or use the App.
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
2. Description of the App
Fundlify is a native Shopify software application that enables merchants to validate product demand, run crowdfunding campaigns, take pre-orders, forecast demand velocity, and operate referral reward programs directly on their Shopify store. Specifically, Merchants use the App to:
- Run $0 Pre-Launch Reservation waitlists verified via email and optionally auto-transition campaigns into live pre-orders upon reaching a target goal.
- Accept campaign backing either immediately through Shopify Checkout or via deferred $0 Shopify Draft Order reservations invoiced when ready.
- Configure reward tiers, variant quantity caps, 1-click add-on upsells, multi-language campaign hubs, and automated lifecycle backer notifications.
- Analyze live Demand Forecasting projections and grow campaigns with built-in Native Affiliates (Refer & Earn).
Fundlify is not a payment processor, escrow agent, fulfillment provider, or consumer crowdfunding marketplace. All monetary transactions occur directly between you and your customers through your own Shopify payment gateway.
3. Eligibility
To use the App, you must be at least 18 years old, operate a commercial Shopify store in good standing, and hold authority to bind your business entity to these Terms.
4. Merchant Responsibilities
You, the Merchant, are solely and exclusively responsible for:
- All campaign representations, reward pricing, product descriptions, variant limits, shipping estimates, and promotional claims.
- Payment processing, tax compliance, invoicing, refunds, cancellations, and chargeback or dispute management via your Shopify account.
- Manufacturing, digital or physical fulfillment, product safety, and compliance with applicable consumer protection and e-commerce regulations.
- Transparent communication with supporters regarding production milestones or schedule changes.
Fundlify is not a party to any contract between you and your supporters and bears zero liability for delayed shipments, unfulfilled rewards, product defects, or merchant-customer disputes.
5. Plans, Platform Fees & Shopify Billing
All recurring subscription charges and usage/transaction fees are billed exclusively through the Shopify Billing API in USD according to your active plan tier:
- Free Plan ($0/month): $0 monthly subscription commitment plus a 5% platform fee on paid campaign checkouts and generated campaign Draft Orders.
- Starter Plan ($39/month · 7-day free trial): Unlocks Pre-launch reservations and waitlist auto-transition, plus a 4% platform fee on paid campaign checkouts and generated campaign Draft Orders.
- Growth Plan ($99/month): Unlocks the Demand Forecasting engine, variant/add-on velocity math, and priority email support, plus a 3% platform fee on paid campaign checkouts and generated campaign Draft Orders.
- Scale Plan ($299/month): Unlocks our lowest 2% platform fee on paid campaign checkouts and generated campaign Draft Orders, white-label email branding (hiding "Powered by Fundlify"), dedicated priority support, and early access to new releases.
$0 Pre-Launch email reservations incur 0% platform fees until a supporter completes a paid checkout or campaign Draft Order. By selecting a plan, you authorize Shopify to bill applicable subscription and usage charges in accordance with Shopify’s billing cycle. We may revise future plan pricing with advance notice.
6. Feature-Specific Terms: Pre-Launch, Forecasting & Native Affiliates
- $0 Pre-Launch Reservations: Pre-launch reservations represent non-binding expressions of supporter purchase intent verified by email—not guaranteed payments or binding purchase contracts until checkout is completed.
- Demand Forecasting Disclaimer: Revenue, daily velocity, confidence bands (e.g., ±20%), and variant/add-on unit projections generated by the Demand Forecasting module are statistical estimates derived from historical campaign momentum for informational planning only. Fundlify makes no warranty or guarantee of final sales volume, conversion rates, or optimal manufacturing purchase-order quantities.
- Native Affiliates (Refer & Earn): Fundlify charges 0% extra commission on referred orders across all plans and provides automated 6-digit email OTP verification plus anti-cheat filtering (such as self-referral and refunded-order checks). However, you remain solely responsible for configuring reward tiers, reviewing partner claims prior to fulfillment, honoring issued discount codes, and fulfilling any $0.00 Shopify Draft Order product rewards.
7. Data Protection & GDPR
Both parties agree to comply with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). Details on how we process Merchant and Supporter data, our sub-processors, and data subject rights are set out in our Privacy Policy. You warrant that you maintain a lawful privacy notice on your Shopify storefront covering pre-order, waitlist, and referral communications.
8. Platform Integrity & Acceptable Use
You may not use Fundlify to run deceptive, fraudulent, unlawful, or prohibited campaigns, or to abuse email notification infrastructure for unsolicited spam. Fundlify reserves the right to suspend or restrict App access where fraud, abuse, or Shopify Acceptable Use Policy violations are reasonably suspected.
9. Intellectual Property
FUNDLIFY UG (haftungsbeschränkt) retains all rights, title, and interest in and to the App, its user interface, forecasting algorithms, documentation, and trademarks. You may not copy, scrape, reverse-engineer, or create derivative works based on the App. You retain full ownership of your brand assets, product catalog, and campaign content, granting Fundlify only the limited technical license needed to host and render your campaigns.
10. Third-Party Services
The App depends on Shopify APIs, storefront infrastructure, and payment gateways outside Fundlify’s control. Fundlify is not liable for downtime, API changes, payment holds, or errors originating from Shopify or third-party payment providers.
11. Backer Relationship & Refunds
Supporters backing a Merchant campaign purchase or reserve directly from the Merchant—not from Fundlify. Delivery dates communicated on campaign widgets are Merchant estimates. All refund policies, cancellations, and statutory consumer withdrawal rights remain the sole responsibility of the Merchant.
12. Disclaimers
Except as expressly required by mandatory law, the App is provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
13. Limitation of Liability
Under German law, Fundlify is liable without limitation in cases of intent (Vorsatz), gross negligence (grobe Fahrlässigkeit), injury to life, body, or health, or mandatory statutory product liability. In cases of slight negligence (leichte Fahrlässigkeit), Fundlify is liable only for breach of essential contractual obligations (Kardinalpflichten), and such liability is strictly limited to foreseeable, contract-typical damages capped at the total App fees paid by you to Fundlify during the three (3) months immediately preceding the event giving rise to the claim. Liability for indirect damages, lost profits, inventory overproduction, or payment-processor actions is excluded to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless FUNDLIFY UG (haftungsbeschränkt) from any third-party or supporter claims, regulatory fines, damages, and reasonable legal costs arising out of your campaigns, product fulfillment, reward representations, or violation of these Terms or applicable law.
15. Termination
You may terminate these Terms at any time by uninstalling the App in your Shopify Admin. We may suspend or terminate access for material breach, fraudulent activity, or legal requirement. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
16. Cookies & Analytics Preferences
Inside the embedded Shopify Admin, Fundlify authenticates via cookieless Shopify App Bridge session tokens. On fundlify.com, optional Google Analytics cookies run strictly on an opt-in basis via Google Consent Mode v2 (`denied` by default). Visitors can manage or withdraw analytics consent anytime via the “Cookies” button in the website footer.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction for all disputes with commercial Merchants (Kaufleute) is Berlin, Germany.
